Terms of Service

These Terms of Service ("Terms") govern your access to and use of TechConnex, an ICT services platform operated by CYBERNET CONSULTING SDN. BHD. ("we", "us", or "our"), available at https://techconnex.vip. By accessing or using TechConnex, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform. These Terms form a legally binding agreement between you and CYBERNET CONSULTING SDN. BHD. Please read them carefully before using TechConnex.

2. Platform Overview
In Short:
TechConnex is a digital platform connecting companies with ICT service providers. We are a facilitator, not a party to user contracts.
TechConnex is a digital platform that connects: companies seeking ICT and technology services, and service providers (freelancers, professionals, or firms) offering such services. TechConnex facilitates: project discovery and posting; AI-assisted provider-company matching; proposal and bid management; milestone-based project delivery and payments; in-platform messaging and file exchange; dispute handling and resolution support; AI-powered support chat with human agent handoff. TechConnex is not a party to any contract formed between a company and a service provider. We do not employ, endorse, or guarantee the performance of any provider or the quality of any project posted on the platform.
3. Eligibility
In Short:
You must be at least 18 years old and have legal capacity to use TechConnex.
To use TechConnex, you must: be 18 years of age or older (or the equivalent minimum age in your jurisdiction); have the legal capacity to enter into binding contracts; not be prohibited from using the platform under applicable law; provide accurate, complete, and up-to-date registration information. If you are registering on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms. We reserve the right to suspend or terminate accounts that do not meet these requirements at any time.
4. Account Registration & Security
In Short:
You are responsible for your account credentials and all activity conducted under your account.
Your Obligations
- Provide accurate and complete information during registration
- Keep your login credentials confidential and do not share them with any third party
- Notify us immediately at techconn@techconnex.vip of any suspected unauthorised access or security breach
- Ensure your account information remains current and up to date
Our Rights
We may suspend or terminate accounts suspected of: misuse, fraud, or deceptive conduct; security risk to other users or the platform; violation of any part of these Terms. You are solely responsible for all activities conducted under your account, whether or not authorised by you.
5. User Roles & Responsibilities
5.1 Companies
Companies may: create and post project listings with clear scope, requirements, and timelines; review proposals, bids, and AI-generated match recommendations; award projects and enter into agreements with service providers; manage project milestones and approve or request changes to deliverables; release milestone payments upon satisfactory delivery; communicate with providers through the platform.
5.2 Service Providers
Service Providers may: create and maintain a professional profile; submit proposals and bids on listed projects; deliver work through the milestone structure agreed with the company; communicate with companies through the platform; receive payments upon company approval of completed milestones. Service Providers must complete identity verification (KYC) when required. Failure to complete KYC may restrict access to payment features or the ability to submit proposals.
5.3 General Obligations (All Users)
- Act in good faith in all interactions on the platform
- Accurately represent qualifications, capabilities, and intentions
- Comply with applicable laws, including those governing contracts, employment, and data protection
- Not engage in conduct that damages the reputation or integrity of TechConnex or other users
6. Projects, Contracts & Deliverables
In Short:
Agreements are formed directly between companies and providers. TechConnex is not liable for project outcomes. Any agreement formed through TechConnex is solely between the company and the service provider. TechConnex is not a party to such agreements. Users are responsible for defining clear project requirements, deliverables, timelines, and acceptance criteria before commencing work. TechConnex does not guarantee project success, quality of deliverables, or timely completion. TechConnex is not liable for disputes, delays, or failures arising from user agreements. Users are encouraged to use the platform's milestone and messaging tools to document all project agreements and progress.
7. Payments, Escrow & Fees
In Short:
Payments are held in escrow and released upon milestone approval. Platform fees apply to transactions.
Payment Processing
Payments are processed via third-party providers (Stripe and FPX). By making a payment, you agree to those providers' terms and conditions.
Escrow
Funds are held in escrow upon a company's payment for a milestone. Funds are released to the service provider only after the company approves the completed milestone. Disputed milestones may have their funds frozen pending resolution (see Section 13).
Platform Fees
A platform fee may apply to transactions on TechConnex. The applicable fee will be clearly displayed at the time of payment. Fees are non-refundable unless otherwise stated or required by law.
Provider Payouts
Providers must submit valid payout details (e.g. bank account, PayPal, Payoneer, Wise, or e-wallet) to receive payments. Payout processing times may vary depending on the payment method and jurisdiction.
Limitations
TechConnex does not store full card or payment credentials. TechConnex is not responsible for failures or errors caused by third-party payment systems. TechConnex is not responsible for currency conversion losses or international transfer fees.
8. Milestones & Deliverable Approval
Companies must review and respond to completed milestones within a reasonable time. Projects are structured around milestones agreed between the company and provider. Upon submission of a completed milestone, the company must review and either approve or request revisions within a reasonable timeframe. If a company does not respond within 14 calendar days of a submitted milestone, TechConnex reserves the right to treat the milestone as approved and release the associated funds. Approval of a milestone constitutes acceptance of the deliverable for the purposes of that milestone. Companies may request reasonable revisions in accordance with the agreed project scope.
9. Refunds & Cancellations
In Short:
Refunds are handled on a case-by-case basis through the dispute process. Escrow funds for unapproved milestones may be refunded to the company if a provider fails to deliver or abandons a project. Platform fees are non-refundable. Refund requests must be submitted through the platform's dispute process (Section 13). TechConnex will review evidence from both parties before determining any refund outcome. In the event of a mutual cancellation agreed by both parties, any escrowed funds will be returned to the company, net of any applicable fees. TechConnex reserves the right to make final refund decisions in cases of disputed cancellations.
10. AI-Based Features
In Short:
AI features are provided for assistance only and do not replace human judgment.
TechConnex uses artificial intelligence and machine learning to: match projects with suitable providers, and opportunities with suitable companies, generating match scores and explanations; assist in evaluating and summarising bids to support company decision-making; assist providers in drafting professional profiles and companies in writing project descriptions, based on uploaded documents; power an in-platform support chat that draws from platform documentation, with handoff to human agents for complex queries. Important limitations: AI outputs are informational only and do not constitute professional advice. TechConnex does not guarantee the accuracy, suitability, or outcomes of AI-generated recommendations or content. Users remain solely responsible for decisions made on the basis of AI outputs. You must not attempt to manipulate, circumvent, or exploit AI systems on the platform. Where AI-based processing produces decisions with significant effects on your account, you may request human review by contacting techconn@techconnex.vip. Our AI features are powered by third-party providers including OpenAI and Langchain. Use of these features is subject to their respective terms and policies.
11. Communications & Content
In Short:
You retain ownership of your content but grant TechConnex a limited licence to operate the platform.
Users may exchange messages, files, and attachments through the platform's messaging system and support chat. You agree not to upload, share, or transmit: illegal, harmful, defamatory, or fraudulent content; malware, viruses, or malicious code; content that infringes any intellectual property right; spam, unsolicited commercial communications, or phishing content; content that harasses, threatens, or abuses any person. You retain ownership of content you create and upload to the platform. By using TechConnex, you grant us a limited, non-exclusive, royalty-free licence to host, process, display, and transmit your content solely for the purpose of operating and improving the platform. We may send you service-related communications (e.g. payment notifications, dispute updates, policy changes). You may opt out of non-essential marketing communications through your account settings.
12. Intellectual Property
In Short:
TechConnex owns all platform IP. Ownership of project deliverables is determined by the agreement between the company and provider. All intellectual property rights in the TechConnex platform — including its software, design, branding, AI systems, and documentation — are owned by or licensed to CYBERNET CONSULTING SDN. BHD. Nothing in these Terms grants you any right to use our intellectual property beyond what is necessary to use the platform. Intellectual property rights in project deliverables (work product created by a service provider for a company) are governed by the agreement between the company and provider. TechConnex makes no representations about IP ownership of deliverables and is not liable for disputes arising from unclear IP arrangements between users. Users are encouraged to specify IP ownership and licensing terms clearly in their project agreements.
13. Disputes
In Short:
Users must first attempt to resolve disputes using platform tools. TechConnex may assist in review but is not a legal arbitrator.
Between Users: If a dispute arises between a company and a service provider, users must first attempt resolution through platform messaging and tools. If unresolved, either party may raise a formal dispute through the platform's dispute function. Disputed milestones may have associated funds frozen during the review period. TechConnex admins may review messages, files, evidence, and milestone records to assist in resolution. TechConnex will endeavour to respond to disputes within 10 business days of submission. TechConnex does not guarantee a specific dispute outcome and does not act as a legal arbitrator; its decisions are not legally binding. Either party retains the right to pursue legal remedies through the appropriate courts. Disputes with TechConnex: Any dispute between a user and TechConnex shall be governed by the laws of Malaysia (see Section 21). We encourage resolution through direct contact before initiating formal proceedings.
14. Prohibited Activities
In Short:
Misuse of the platform may result in immediate suspension or permanent termination.
You may not use TechConnex to: misrepresent your identity, qualifications, or credentials; circumvent, manipulate, or exploit the escrow or payment systems; engage in or facilitate fraudulent transactions; harass, threaten, intimidate, or abuse any user or TechConnex staff; attempt to manipulate, reverse-engineer, or exploit TechConnex AI systems; scrape, harvest, or extract data from the platform without written permission; post fake projects, spam bids, or create fake user accounts; engage in any activity that violates applicable Malaysian or international law; solicit users to transact outside the platform to circumvent fees. Violations may result in immediate suspension, permanent account termination, and/or legal action.
15. Account Suspension & Termination
In Short:
We may suspend or terminate accounts for violations, fraud, or to protect platform integrity.
We may suspend or permanently terminate your account, with or without notice, for: violation of any provision of these Terms; fraudulent, deceptive, or harmful behaviour; failure to complete required KYC/identity verification; legal obligations or regulatory requirements; protection of platform integrity or other users. You may request account closure at any time by contacting techconn@techconnex.vip, subject to: resolution of any active projects, milestones, or disputes; settlement of any outstanding payments or fees. Effect of termination: access to your account and platform features will cease; pending escrow funds will be handled in accordance with the status of active milestones; we may retain certain data as required by law or our Privacy Policy.
16. Limitation of Liability
In Short:
TechConnex's liability is limited to the fees you have paid in the previous 12 months. To the maximum extent permitted by applicable law: TechConnex is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We are not liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the platform. We are not responsible for the conduct, content, or contractual performance of any user. We are not liable for decisions made in reliance on AI-generated recommendations or content. We are not responsible for failures, delays, or errors in third-party payment systems. Our total aggregate liability to you shall not exceed the total fees paid by you to TechConnex in the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded or limited under applicable Malaysian law.
17. Indemnification
In Short:
You agree to indemnify TechConnex against claims arising from your use of the platform or breach of these Terms. You agree to indemnify, defend, and hold harmless CYBERNET CONSULTING SDN. BHD., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: your use of, or inability to use, TechConnex; your breach of these Terms or any applicable law; your violation of any third-party rights, including intellectual property or privacy rights; content or deliverables you post, submit, or transmit through the platform; any dispute between you and another user.
18. Force Majeure
In Short:
TechConnex is not liable for failures caused by events outside our reasonable control. TechConnex shall not be held liable for any delay, disruption, or failure in performance resulting from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, or extreme weather events; government actions, laws, regulations, or sanctions; cyberattacks, hacking, or third-party system failures; internet or telecommunications outages; pandemics or public health emergencies. In such events, we will make reasonable efforts to notify affected users and restore service as soon as practicable.
19. Privacy & Data Protection
In Short:
Your privacy is governed by our Privacy Policy, which forms part of these Terms. Your use of TechConnex is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you acknowledge that you have read and understood our Privacy Policy. We process personal data in accordance with Malaysia's Personal Data Protection Act 2010 (PDPA) and applicable international data protection standards.
20. Changes to These Terms
In Short:
We will notify you of material changes. Continued use constitutes acceptance of the updated Terms. We may update these Terms from time to time. When we make material changes, we will post a notice within the platform and/or send an email notification to registered users and update the "Last Updated" date at the top of this document. Your continued use of TechConnex after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the platform.
21. Governing Law & Dispute Resolution
In Short:
These Terms are governed by the laws of Malaysia. We encourage amicable resolution before formal proceedings. These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict-of-law principles. In the event of a dispute arising from or relating to these Terms or your use of TechConnex: both parties agree to first attempt resolution through good-faith negotiation; if unresolved within 30 days, disputes shall be referred to the courts of Malaysia, which shall have exclusive jurisdiction. Nothing in this section prevents TechConnex from seeking injunctive or other equitable relief in any jurisdiction to protect its intellectual property or platform integrity.
